Terms of Service

1 Agreement & Acceptance of Terms

By contracting with Synkro-ai Technologies Pvt. Ltd., scheduling technical demos, subscribing to Success Packs, or utilizing our customized software, you ("Client" or "Company") agree to be legally bound by these Terms of Service, along with any individual Statement of Work (SOW) executed between the parties.

2 Scope of Professional Services

Synkro-ai delivers enterprise digital consulting and development across several disciplines:

• Odoo ERP Implementation & GAP Analysis: Structured end-to-end rollouts including business workflow mapping, data migration dry-runs, and User Acceptance Testing (UAT).
• Bespoke Module Customization: Engineering tailored Python backend models, QWeb reporting engines, and JavaScript / OWL frontend interfaces.
• Third-Party Integrations: API bridge connectivity for payment gateways, courier tracking, eCommerce marketplaces, and third-party accounting software.
• Dedicated Staffing: Placement of certified Odoo developers and full-stack software architects under turnkey retainer or hourly allocation.

3 Intellectual Property & Code Ownership

We believe in complete transparency regarding software asset ownership:

Open-source Odoo Community and Enterprise core frameworks remain governed by their respective licenses (LGPLv3 / Odoo Enterprise License).

4 Service Level Agreements (SLA) & Cloud Support

For clients enrolled in our 24/7 Enterprise Maintenance & Support retainers, response times are categorized by severity:

• Severity 1 (System Outage / Critical Production Block): Initial response within 30 minutes; dedicated architect assigned until production restore.
• Severity 2 (Degraded Core Operations): Initial response within 2 hours; continuous mitigation during business hours.
• Severity 3 (Standard Queries & Minor Enhancements): Addressed within 24 hours under sprint schedule.

5 Billing, Milestones & Success Packs

All engagements follow clear, predictable financial structuring:

• Fixed-Price Milestones: Invoiced upon explicit sign-off of defined deliverables following UAT.
• Hourly Success Packs (25h, 50h, 100h): Prepaid hourly packages logged via transparent timesheets and burn-down reports.
• Payment Windows: Invoices are payable within 14 calendar days of issuance via international wire transfer, credit card, or authorized payment gateway.

6 Confidentiality & Non-Disclosure

Both parties agree to treat all business plans, customer databases, technical architectures, financial data, and credentials as strictly Confidential Information. Neither party will disclose proprietary material without express written consent.

7 Limitation of Liability

In no event shall either party be liable for indirect, incidental, punitive, or consequential damages (including loss of profits or business interruption) arising out of or in connection with the services provided, even if advised of the possibility of such damages. Total aggregate liability shall not exceed the total fees paid by the Client to Synkro-ai in the preceding 6 months.

8 Termination & Clean Off-boarding

Either party may terminate a monthly support agreement with a 30-day written notice. Upon termination, Synkro-ai ensures complete delivery of all code repositories, database snapshots, and documentation for seamless off-boarding.
